Terms of Service

These Terms govern your access to and use of the Haystack website and any platform services made available through it.

1. Agreement

These Terms form an agreement between you and Haystack Technology Ltd (a company registered in England and Wales, Company No. 17157792) in relation to your use of our website and services (together, the "Services"). By accessing the Services you agree to be bound by these Terms.

2. Nature of the Services

The Services provide infrastructure for the distribution, lifecycle management and transferability of non-market-traded investments. The Services do not constitute investment advice, a personal recommendation, an offer to sell or a solicitation to buy any investment.

Certain areas of the platform - including investor features - are available only to verified users who have completed our onboarding process and, where required, demonstrated eligibility under applicable financial promotion rules.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction. Access to investor-only features may additionally require identity verification, suitability or appropriateness assessments, and compliance with jurisdictional restrictions. We may refuse, suspend or terminate access at our discretion where we consider it necessary to comply with our regulatory obligations.

Where the Services require an account, you are responsible for keeping your credentials secure and for all activity under your account. You agree to provide accurate information and to update it promptly if it changes. Notify us immediately if you suspect unauthorised access.

All content on the Services - including text, graphics, logos, designs, software and the Haystack name - is owned by or licensed to Haystack Technology Ltd and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access the Services for their intended purpose. All other rights are reserved.

The Services may rely on or link to third-party services, including identity verification providers, custodian banks, settlement counterparties and infrastructure partners. Their services are governed by their own terms. We are not responsible for the acts, omissions or content of third parties.

8. Marketing communications

Any financial promotion displayed through the Services is a marketing communication. It is not independent research and is not subject to any prohibition on dealing ahead of dissemination. You should not rely on it as the basis for an investment decision.

Nothing on the Services constitutes investment, tax, legal or other professional advice. You should seek advice from a suitably qualified professional before making any decision based on information made available through the Services.

Investments accessed through the Services are speculative, illiquid and involve a high risk of partial or total loss. Please review our Risk Disclosure before using any investor features.

We aim to keep the Services available but make no guarantee of uninterrupted access. We may change, suspend or discontinue any part of the Services at any time, with or without notice. We may also update these Terms from time to time; the "last updated" date above indicates when they were last revised.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded. Subject to that, to the fullest extent permitted by law:
